Job Description

Established and respected law firm is seeking a Corporate Paralegal with corporate transactional experience to join its growing team. This is an excellent opportunity for a detail-oriented professional who can step in and contribute immediately.

Key Responsibilities

  • Handle entity formations, foreign qualifications, mergers, acquisitions, conversions, and dissolutions
  • Prepare corporate governance documents, including board and shareholder resolutions and minutes
  • Maintain corporate records and assist with annual filings
  • Support transactional matters, including due diligence, closings, closing binders, and post-closing deliverables
  • Manage stock issuances, transfers, options, and capitalization records
  • Prepare UCC filings, lien searches, and various regulatory filings
  • Conduct legal and corporate research

Qualifications

  • Bachelor's degree required
  • 2+ years of corporate transactional paralegal experience
  • Strong experience with entity formations and corporate governance
  • Knowledge of Delaware and California corporate law requirements
  • Experience supporting M&A, financing transactions, or securities matters is a plus
  • Strong legal research, organizational, and communication skills
  • Proficiency with Microsoft Office Suite, Adobe, and corporate record management systems

Position Details

  • Schedule: Monday-Friday, 9:00 AM-6:00 PM
  • Salary: $75,000-$85,000+ depending on experience
